Microsoft is about to do something it hasn’t done in eleven years: launch a new enterprise licensing tier.

The last time was E5 in 2015. That tier bundled advanced security, analytics, and voice into a premium package. Eleven years later, only 12% of Microsoft 365’s commercial base has adopted it.

Now reports indicate Microsoft is preparing an E7 tier at approximately $99 per user per month. But the “users” it’s licensing this time aren’t human. They’re AI agents.

The tier reportedly includes everything in E5, plus Copilot, plus a new feature set called Agent 365 — identity management through Entra, compliance controls through Purview, and security governance through Defender XDR. AI agents get employee-grade credentials. Email addresses. Teams access. Policy controls. The full enterprise identity stack.

It’s the most ambitious AI licensing play in enterprise software history. And it’s missing the one thing that would make it work.

What Microsoft Gets Right

Before examining the gap, it’s worth acknowledging what E7 gets right — because there’s a genuinely important idea at its core.

AI agents do need identity management. When persistent agents operate across enterprise systems — creating documents, sending emails, accessing databases, making API calls — they need trackable identities. Without Entra-based identity, you get shadow agents: autonomous systems operating outside your security perimeter with no audit trail.

AI agents do need compliance controls. When an agent processes customer data in a regulated industry, Purview-based data governance isn’t optional. It’s a legal requirement. GDPR, HIPAA, SOX, the EU AI Act’s high-risk deadline in August 2026 — all demand that organizations know what their AI systems access, how they process it, and where results go.

AI agents do need security governance. Defender XDR integration means agents get the same threat detection, anomaly monitoring, and incident response that human users get. Given that non-human identities are now multiplying faster than human identities in most enterprises, this isn’t premium — it’s table stakes.

And the multi-vendor support is smart. Agent 365 reportedly governs not just Microsoft Copilot Studio agents but also third-party and open-source agents built on any platform. Microsoft’s instinct — that AI agents operating persistently in enterprise environments need the same governance infrastructure as human employees — is directionally correct. The “license agents like employees” framing captures something real about where enterprise AI is heading.

The problem is what that framing leaves out.

The Agent Factory: Three Layers of Retrieval, Zero Layers of Understanding

Microsoft’s Agent Factory white paper, published in February 2026, describes the intelligence architecture underlying E7. But here’s what all three layers share: they’re retrieval layers. They solve the problem of where to find data. None of them solve the problem of what that data means in your organizational context.

Work IQ can pull your last quarter’s Board presentation from SharePoint. It cannot tell an agent why the CFO chose to emphasize gross margin over revenue growth, or how that emphasis should shape this quarter’s financial narrative.

Fabric IQ can surface a customer churn dashboard from Power BI. It cannot tell an agent that the spike in Region 3 correlates with a leadership transition your VP of Sales managed last month, or that the apparent recovery in Region 5 is an artifact of a contract timing change, not actual improvement.

Foundry IQ can query your CRM through an MCP connection. It cannot tell an agent that the deal marked “90% probability” has been stalled for four months because the champion left the prospect’s organization, or that your pricing team quietly approved a discount structure last week that changes the negotiation dynamics.

Retrieval tells agents what exists. Organizational context tells agents what it means.

Microsoft’s three IQ layers give agents employee-grade access to information. They don’t give agents employee-grade understanding of the business.

The $9 Question

The arithmetic of E7 creates an interesting pricing puzzle.

Starting July 1, 2026, Microsoft 365 E5 rises to $60 per user per month. Copilot remains $30 per user per month. If you buy both separately, that’s $90.

E7 at $99 represents a $9 premium over à la carte pricing. Nine dollars per user per month for Agent 365 — the identity, compliance, and security governance layer for AI agents.

For a 1,000-person organization, that’s $108,000 per year for Agent 365 capabilities. For 10,000 seats, it’s $1.08 million.

The question enterprises should ask: What does the $9 buy?

It buys governance of agent actions — who the agent is (Entra), what data it can access (Purview), and what threats it faces (Defender XDR). Three layers of control over what agents do.

It does not buy governance of agent knowledge — what the agent understands about your business, how it interprets organizational context, or whether its outputs reflect your company’s specific reality rather than generic patterns trained on the internet’s average.

The $9 buys a better container. It doesn’t improve what’s inside the container.

This is a familiar pattern. It’s exactly what happened with Copilot itself.

The 3.3% Problem, Compounded

Our analysis of Microsoft’s Copilot adoption crisis revealed that only 3.3% of Microsoft 365’s 450 million commercial seats have paid Copilot licenses. A Copilot that produces a bad meeting summary wastes thirty seconds. A persistent agent that misunderstands your pricing strategy and autonomously updates a customer proposal costs a deal. A persistent agent that autonomously reschedules a Board presentation based on incorrect priority inference creates organizational damage.

The stakes compound because agents act. Copilots suggest. Agents execute. When execution happens without organizational context, the failures aren’t passive (bad suggestions you can ignore) — they’re active (wrong actions you have to reverse).

E7 gives these agents identities, compliance controls, and security governance. It does not give them the organizational understanding to avoid the failures that make governance necessary in the first place.

The Employee Analogy Breaks Down

Microsoft’s core insight — license agents like employees — reveals the gap when you take the analogy seriously.

What happens when you hire a real employee?

You don’t hand them a badge, create their email, add them to Teams channels, and enroll them in the compliance training module on Day 1, then expect strategic output on Day 2.

Real employees go through onboarding. Not the compliance video kind — the organizational learning kind. They learn who the key stakeholders are. They absorb tribal knowledge about why certain processes exist. They discover that “the Q3 forecast” actually means something different to the sales team than it does to finance. They learn that the CTO and VP of Engineering have a productive tension that shapes technical decisions, and that proposals need to navigate both perspectives. They build mental models of how the organization actually works, as distinct from how the org chart says it works.

This organizational context accumulates over weeks and months. It’s the difference between a new hire who technically has access to everything and a veteran who actually understands the business.

E7 gives agents the Day 1 package. The badge, the email, the compliance enrollment, the security clearance. It skips the organizational learning that makes Day 90 employees valuable.

The irony is that Microsoft’s own framing — agents as digital employees — points directly at the missing layer. You would never evaluate an employee solely on whether they had the right credentials and followed security protocols. You’d evaluate them on whether they understood the business well enough to do useful work. E7 evaluates agents on the former and ignores the latter.

What the Agent Factory Actually Produces

Let’s make this concrete. Consider three scenarios where an E7-governed agent operates with full identity, compliance, and security — but without organizational context.

Scenario 1: Contract Review Agent

An E7 agent is tasked with reviewing a vendor contract renewal. It has Entra identity (access to legal docs), Purview compliance (data handling approved), and Defender security (no threats detected). Through Work IQ, it retrieves the previous contract from SharePoint. Through Fabric IQ, it pulls vendor spending data from the procurement dashboard. Through Foundry IQ, it queries the contract management system via MCP.

The agent produces a thorough review comparing terms to market benchmarks. It recommends pushing for a 12% discount based on volume trends.

What the agent doesn’t know: your VP of Operations has a strategic partnership discussion underway with this vendor that would make an aggressive discount negotiation counterproductive. The procurement team informally agreed to hold pricing flat in exchange for early access to a new product line. This context lives in three emails, a Teams side conversation, and the VP’s memory. None of it is tagged, structured, or retrievable by any IQ layer.

Customer ABC Corp shows declining usage metrics. The agent follows its playbook: draft a re-engagement email, schedule a check-in call, flag the account for the customer success team with a retention risk assessment.

What the agent doesn’t know: ABC Corp’s declining usage is expected. They’re in the middle of a planned migration to a new product tier. Their customer success manager discussed this in a call two weeks ago. The “declining metrics” are actually successful migration progress. What the agent doesn’t know: the Board approved a strategic investment in Department C last quarter to accelerate a product launch. The “overspend” is the approved investment. The CFO specifically requested that this variance not trigger standard budget alerts because it would create unnecessary friction with the department head. This context exists in Board minutes, a CFO email, and an informal understanding among the senior finance team.

The agent’s analysis is arithmetically correct and contextually wrong. History suggests E7 will face the same adoption challenge as E5 — but steeper.

The tier will attract early adopters (probably the same 12% already on E5) while the vast majority waits for the gap between licensing and organizational readiness to close.

The Three-Layer Governance Test

Between an agent that passes security checks and an agent that grasps the organizational dynamics that determine whether its outputs are useful or harmful.

Layers 1 and 2 prevent bad outcomes. Layer 3 enables good ones. E7 addresses prevention. It doesn’t address enablement.

What Enterprise Buyers Should Ask Before Purchasing E7

If your organization is evaluating E7, here’s the assessment framework:

1. Do we have persistent agents that need identity management?

If you’re running autonomous agents that create documents, send communications, access databases, or make decisions without human-in-the-loop approval, then yes — Agent 365’s Entra integration has real value. If your AI usage is primarily Copilot-style assistance (human-prompted, human-approved), agent identity management is premature.

2. What’s our current Context Gradient position?

Map your AI usage against organizational context requirements. If your highest-value use cases are low-context (transcription, summarization, drafting), E7 won’t change the adoption ceiling. 3. What are we investing in Layer 3?

The $9 premium for Agent 365 governance only delivers value when agents have organizational context worth governing. If your agents operate with generic retrieval (the three IQ layers pulling documents without organizational interpretation), you’re governing the output of an uninformed system. That’s compliance theater.

4. What’s our E5 penetration?

If you’re not yet on E5, the jump to E7 represents a $60+ per user per month increase over E3. That’s not an AI investment — it’s a wholesale platform migration. Most organizations should complete their E5 journey before considering E7.

5. Is the $9 solving our actual problem?

If agent failures are caused by unauthorized access, compliance violations, or security breaches, E7’s governance addresses your problem directly. If agent failures are caused by agents not understanding your business — producing outputs that are technically correct but organizationally wrong — E7 doesn’t address the root cause. Before You License Like Employees, Invest Like Employees

Microsoft’s E7 tier represents a genuine insight: AI agents operating persistently in enterprise environments need governance infrastructure comparable to what human employees get. Identity, compliance, security — the foundational layers of organizational trust.

But the insight is incomplete. Human employees become valuable not because they have badges and policy training, but because they develop organizational understanding. The onboarding, the tribal knowledge, the contextual judgment — these are what transform an employee with access into an employee who delivers value.

E7 gives agents the badge. It doesn’t give agents the onboarding.

Before your organization invests $99 per agent per month in the governance layer, invest in the understanding layer. Build the organizational context that makes governance worth having. Engineer the institutional knowledge that makes agent outputs actually useful. Close the gap between what agents are allowed to do and what they understand well enough to do correctly.

The most expensive AI governance in enterprise history is the kind that perfectly governs perfectly ignorant agents. E7 is a world-class solution to the wrong problem — unless you solve the right problem first.
